Distance Sales Agreement
This Distance Sales Agreement is concluded electronically between the BUYER purchasing a digital subscription through Confluro and the SELLER providing the service, under Turkish Consumer Protection Law No. 6502 and the Distance Contracts Regulation.
1. Parties
SELLER: TOMORROW HR DANIŞMANLIK EĞİTİM TEKNOLOJİ A.Ş. (Confluro brand). Contact and address details are published on the Contact page.
BUYER: the individual or legal entity purchasing a subscription after creating an account on Confluro, identified by the details given at sign-up and payment.
2. Subject
The subject of this agreement is the provision of the digital subscription service ordered electronically by the BUYER through the Confluro website, and the determination of the rights and obligations of the parties.
3. Service and price
The service is a cloud-based software (SaaS) subscription for managing customers, opportunities, quotes, projects, tasks and finances. It is billed on a monthly period basis according to the selected plan and number of users.
Plan prices shown on the website and in the Plans section are exclusive of VAT (net). 20% VAT is added at the payment screen; the VAT-inclusive total shown in the order summary is the final amount charged to the BUYER.
The SELLER reserves the right to change subscription fees on a forward-looking basis. A fee change does not affect the current subscription period already paid for by the BUYER; it applies only to renewal periods starting after the change takes effect. Fee changes are notified to the BUYER by email and/or through the panel a reasonable time before they take effect. If the BUYER does not accept the new fee, the BUYER may cancel the subscription at the end of the period and choose not to renew.
4. Payment
Payments are made by credit or debit card through the PayTR payment infrastructure, or by bank transfer to the account notified by the SELLER. Card details are not stored by the SELLER; payments are processed by a licensed payment institution.
5. Performance and delivery
The service is performed electronically by assigning the plan to the BUYER’s account after payment approval. Delivery details are set out on the Delivery and Service Terms page. There is no physical shipment or shipping fee.
6. Right of withdrawal
Under Article 15/1-(ğ) of the Distance Contracts Regulation, the right of withdrawal cannot be exercised for services performed instantly in electronic form. By confirming the order the BUYER accepts that the service is performed instantly and that no right of withdrawal applies. 7. Obligations of the parties
- The BUYER is responsible for account and password security, for actions taken through the account and for the lawfulness of the data entered into the system.
- The SELLER uses reasonable efforts to provide the service continuously and securely, and announces planned maintenance in advance.
- The SELLER processes the BUYER’s personal data under Turkish data protection law (KVKK) and does not share it with third parties except where legislation permits.
8. Termination
The BUYER may cancel the subscription at any time, ending the agreement at the end of the period. The SELLER may terminate the agreement and suspend the account in case of a breach of the terms of use.
9. Disputes
For disputes arising from this agreement, the Consumer Arbitration Committees and Consumer Courts at the BUYER’s place of residence are competent, within the monetary limits announced by the Ministry of Trade.
10. Effect
The agreement is deemed concluded and enters into force between the parties once the BUYER approves it at the payment step.
